These Terms of Service ("Terms") govern your use of boltramp.com (the "Website") operated by Odinzone Labs LLC ("we," "us," or "our"). By using this Website or purchasing our services, you agree to these Terms.

1. Service Description

boltramp.com is a platform offering fixed-price Shopify services, including:

• Shopify store builds (new stores and full rebuilds)
• Shopify platform migrations from WooCommerce, Magento, BigCommerce, Squarespace, and Wix
• Shopify growth retainers (ongoing development, CRO, and optimization)
• Shopify speed audits and store health audits

All services are delivered remotely by Odinzone Labs LLC, a Delaware limited liability company.

2. User Obligations

By using our services, you agree to:

• Provide accurate and complete information when requesting services
• Use the Website and services only for lawful purposes
• Not share false, misleading, or harmful content
• Respect intellectual property rights when providing materials
• Cooperate in good faith during project execution
• Provide timely feedback and required materials

3. Pricing and Payment

• All prices are listed in US Dollars (USD) and exclude applicable taxes
• Sales tax or VAT will be added where legally required
• Full payment is required before project commencement
• Payment is processed via Stripe. Accepted methods include credit card and debit card
• Once payment is received, the project will begin according to the timeline specified on the relevant service page
• All sales are final. Refunds are subject to our discretion and the specific circumstances of each case

For Business Customers: If you are purchasing as a business entity, you must provide your tax identification number and complete billing information before payment.

4. Delivery and Revisions

• Estimated delivery timelines are specified on each service page and are measured in business days
• Delivery times are dependent on your timely provision of required materials and feedback
• Revision rights vary by package and are available only after initial delivery, within the specified timeframe
• Requests beyond the included revision scope will require a separate quote and additional payment

Project Delays: If there is a delay caused by lack of client input or materials for more than 30 days, we reserve the right to close the project with no refund.

5. Intellectual Property

• Upon full payment, ownership of the delivered project transfers to you
• Third-party templates, tools, software licenses, and frameworks used in development remain the property of their respective owners
• We retain the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing
• You grant us a license to use any materials you provide solely for the purpose of completing your project

6. Warranties and Limitation of Liability

Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee:

• Uninterrupted or error-free service
• Specific search engine rankings or traffic results
• Compatibility with all future third-party updates
• Any specific business outcomes or revenue

Limitation of Liability: To the maximum extent permitted by law, Odinzone Labs LLC's total liability for any claims arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim.

We are not liable for indirect, incidental, or consequential damages; loss of profits, revenue, or data; damages resulting from your use or inability to use the services; or third-party actions or content.

7. Service Refusal and Cancellation

Our Rights: We reserve the right to refuse or cancel any service request at our sole discretion, including projects that violate our policies or values, clients who engage in abusive or unprofessional behaviour, projects outside our scope of expertise, or cases of technical impossibility or legal restrictions.

Client-Initiated Cancellations:

• Cancellations before work begins: eligible for refund minus a 25% processing fee
• Cancellations after work has commenced: refund amount determined based on work completed
• No refunds after final delivery has been accepted

8. Third-Party Services

Our services may integrate with or depend on third-party platforms (Shopify, Stripe, Google, Meta, and others). We are not responsible for changes to third-party platforms or policies, third-party service outages or disruptions, additional costs imposed by third-party services, or loss of functionality due to third-party updates.

You are responsible for maintaining any required subscriptions or licences for third-party services, including your Shopify plan.

9. Confidentiality

We agree to keep confidential any proprietary information you share during the project. This does not apply to information that is publicly available, information we independently develop, or information we are legally required to disclose.

10. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Delaware or remotely via video conference. Each party shall bear its own costs unless otherwise determined by the arbitrator.

Small Claims Court: Either party may alternatively pursue claims in small claims court if the claim qualifies.

Class Action Waiver: You agree that disputes must be brought on an individual basis only, and not as a class action or representative proceeding.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Website with an updated "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms. Material changes will be communicated via email to active clients.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Odinzone Labs LLC regarding your use of our services.
